1. GENERAL TERMS AND CONDITIONS OF SALE FOR THE USE OF THE MLD.IT WEBSITE

1.1. These general terms and conditions of sale govern the purchase of products by professionals in the sector, carried out by electronic means, of the products presented on the website www.mld.it, managed by:

and constitute an integral and essential part of the purchase agreement for any product.

1.3. The general conditions apply to all purchase orders placed with MLD through the website www.mld.it.

1.4. "Customer" means the Professional (natural or legal person who places an order in the exercise of their business, commercial, craft or professional activity) who purchases the Products from MLD.

1.5. "Order" means any proposal for the purchase of one or more Products, made by the Customer via the internet, while "Contract" refers to the agreement between MLD and the Customer who purchases one or more Products. The order placement and subsequent conclusion of the contract will be carried out according to the methods indicated below.

1.6. "Products" means the products, accessories, and equipment for hair care that are listed in the catalog accessible by clicking on the "products" item on the website pages.

1.7. It is specified that "Working Day" refers to any day of the week, with the exception of Saturdays, Sundays, and public holidays under Italian law.

1.8. The Customer may keep a copy of these general conditions of sale, the return conditions and privacy policy (as per the other annexes) by saving them on their PC.

1.9. The Customer may archive their order data with the order confirmation email that MLD will send, after placing the Order, to the email address indicated by the Customer. This confirmation email will contain the details of the order placed by the Customer, with the possibility of printing or saving this documentation.

1.10. The data of each Order will be saved by MLD on its systems. In order to preserve the confidentiality of such information, access to it by the Customer will only be allowed after prior authentication in the reserved area of the Site called “Account”, by entering specific access credentials by the Customer that will be assigned to them at the time of registration to the site itself. In this reserved area, by entering their credentials, the Customer can consult concluded contracts, pending orders and those just placed, as well as update and save their contact details, any bank details and/or data relating to the subscription of the newsletter service.

1.11. The data saved by MLD in its computerized registers are considered as evidence of communications, orders and payments between the parties.

  1. CONCLUSION OF THE CONTRACT

2.1. Any contract relating to the purchase of Products will be concluded exclusively in Italian.

2.2. Before proceeding with any order, the Customer is invited to read these general terms and conditions of sale with the utmost attention. Also, before proceeding with the purchase of the Products by transmitting the order form, the Customer will be asked to print a copy through the print command and to store or reproduce a copy for their personal use.

2.3. The presentation of the Products on the website constitutes a mere invitation addressed to the users of the site to make a purchase offer, therefore it is not binding for MDL and, in particular, does not constitute a public offer pursuant to and for the purposes of art. 1336 of the Italian Civil Code. Any decision regarding the acceptance of any proposals made remains at the full discretion of MLD.

2.4 Conclusion of the contract via internet.

2.4.1. To proceed with the purchase of one or more Products via the Internet, the Customer will provide MLD with all the necessary data to enable MLD to execute the placed orders.

2.4.2. The Customer can select one or more products they intend to purchase, by adding them to a virtual "cart", the content of which can always be viewed before placing the order.

2.4.3. By clicking on the "CONTINUE TO PAYPAL" button, the Customer will initiate the order submission procedure. During the order formulation phase and until its actual submission, the Customer will, in any case, have the opportunity to review the entered data by clicking on the "Back" button, in order to identify and correct any incorrect information.

2.4.4. By clicking on the "CONTINUE TO PAYPAL" button, the Customer will submit the order to MLD.

  1. PRICE AND SHIPPING COSTS

3.1. The prices of the products published on the website do not include VAT and do not include any taxes, duties and fees applicable in the country of destination of the Products, if this is different from Italy, which will be borne by the Customer. The wording "VAT excl." will be present on the product pages and in the lists. VAT will only be applied on the order completion or summary pages (cart, checkout, order summary, to name a few).

3.2. The recommended prices of the Products on the site are subject to change at any time and without notice, provided that, limited to orders being accepted or already accepted by MLD, the sales conditions in force at the time the order was placed by the Customer will apply, except for unaccepted orders.

3.3. The cost for goods delivery is €4.50 + VAT in Rome and some cities in the province (Albano Laziale, Anzio, Ardea, Ariccia, Castel Gandolfo, Ciampino, Fiumicino, Frascati, Genzano, Grottaferrata, Lanuvio, Lariano, Marino, Monterotondo, Nemi, Nettuno, Pomezia, Rocca di Papa, Rocca Priora, Tivoli, Velletri); for other destinations within the national territory, the delivery cost is €9.00 + VAT (unless promotions apply). For deliveries outside the national territory, the cost will depend on the destination of the goods. In each case, the shipping cost will be automatically displayed before order confirmation.  Free delivery for orders of €120 + VAT for the provinces of Rome and Latina.

  1. SHIPPING AND DELIVERY

4.1. For deliveries, MLD will use carriers selected by MLD itself. Products are sent to the address indicated by the Customer on the order form and only in the geographical areas reached by the carriers competing for MLD.

MLD reserves the right to evaluate and, if necessary, not execute Orders that provide for delivery outside the Italian territory.

4.2. Delivery times are 48/72 hours for Sicily, Calabria, Sardinia and 24/48 hours for the remaining Italian regions. Deliveries are made from Monday to Friday, and these timings are indicative only. In any case, after this period, no compensation or retentions can be claimed, as, in compliance with the provisions of the law, delivery will be made within thirty days from the date of conclusion of the contract.

4.3. Unless explicitly stated otherwise, delivery is understood to be at street level.

4.4. Upon delivery of the goods by the courier, the Customer is required to check: a) that the number of packages delivered corresponds to what is indicated in the transport document; b) that the packaging is intact, not damaged, not wet or otherwise altered, including the sealing materials (adhesive tape or plastic strapping).

4.5. In case of delivery of a damaged product or one that does not conform to the order, the customer has the possibility to refuse delivery (indicating the reason on the delivery note) and must notify MLD, as indicated in the return conditions.

4.6. Any damage to the packaging and/or product or discrepancies in the number of packages or indications must be immediately contested by writing "ACCEPTED WITH RESERVATION" on the courier's delivery receipt. Once the courier's document has been signed, the Customer cannot raise any dispute regarding the external characteristics of what was delivered.

Therefore, please always sign the package delivery with the wording "Accepted with reservation". If this wording is missing and product damage is found, the courier will no longer be held responsible, regardless of the presence of insurance or not.

Any problems regarding the physical integrity, conformity, or completeness of the products received must be reported as indicated in the return conditions.

4.7. If delivery has not yet been made after 5 working days from order confirmation, the customer must inform MLD by phone or contact form. A claim will be opened with the courier to ascertain the reason for the delay.

4.8. In the absence of the recipient, the delivery person is required to leave a notice of passage in the customer's mailbox.

4.9. In the event of failure to collect the material held in storage at the courier's warehouses within 5 working days due to repeated inability to deliver to the address indicated by the Customer at the time of the order, the order will be automatically cancelled, and the courier will return the package to MLD. In this case, the customer is required to reimburse MLD for the double shipping costs (outbound to the customer and return to the company).

4.10. Together with the package, the receipt with the list of contained products and the detail of the shipping costs will also be delivered.

4.11. MLD will not be responsible for failed or delayed delivery due to force majeure, such as - by way of example - strikes, public authority measures, rationing or shortage of energy or raw materials, transport difficulties, fires, floods, inundations, and damage to industrial machinery. If the force majeure persists for a period exceeding 30 (thirty) days, each party will have the right to withdraw from the contract. In the event of withdrawal, the Customer will not be entitled to any indemnity or compensation for any reason, without prejudice to the right to the return of any amount already paid as the price for the Product.

4.12. MLD will not be responsible for delivery delays attributable to the carrier, especially in cases of product loss, bad weather, or strikes.

4.13. In case a product different from the one ordered is delivered due to an error, you can contact MLD and proceed with the return as indicated in the return conditions. Always keeping the packaging perfectly intact.

  1. PAYMENT

5.1. The Customer will pay the full price of the Products ordered, after receiving the confirmation email from MLD, with the indication of the amounts to be paid.

5.2. During the submission of the Order, MLD may propose various payment methods, such as, by way of example, payment by credit card (Visa, MasterCard, American Express), payment via the secure "Paypal" system, and payment by pre-paid card (e.g. "Postepay"). The Customer must indicate the payment method they intend to use.

5.3. For orders placed by phone, the balance of the price can be paid via an online payment link with a credit card (Visa, MasterCard, American Express), a prepaid card (e.g., "Postepay"), or through the secure "PayPal" system.

5.4. If the Product is marked as "available" on the Site, MLD will ship the item according to the methods and times already indicated. In any case, the availability reported on the site is not binding as the quantity reported may not correspond to the actual stock in the warehouse. MLD will not be responsible for failed or delayed delivery in the event that the ordered Products are not received by the supplier/manufacturer by MLD itself or, in any case, are not available.

5.5. In any case, if the Customer is a Consumer and the unforeseen unavailability of the products does not allow the delivery of the product to proceed, MLD - within 30 (thirty) days from the submission of the order by the Consumer - will refund any advance payments of the price to the Consumer.

  1. RIGHT OF WITHDRAWAL

The customer's right of withdrawal may only be exercised within the limits referred to in the previous art. 4.11.

  1. WARRANTY AND COMPLAINT MANAGEMENT

MLD does not issue guarantees for Products purchased by the Customer other than those mandatory by law. Any complaints may be submitted using the methods indicated in article 1.2 above.

  1. PURCHASE VOUCHERS

8.1. Purchase Vouchers (also referred to as Coupons, Discount Coupons) cannot be purchased on the site, but are offered by MLD in the context of promotional campaigns, for a limited period of validity.

8.2. Purchase Vouchers are valid until the indicated expiry date and can be used only once within an order process. The Purchase Voucher can only be used before the order is validated (before clicking "Place Order" at the end of the order process). After this point, no reduction can be applied. It should be noted that Purchase Vouchers will only be usable for the purchase of certain specific products, as will be better indicated on the website.

8.3. The Purchase Voucher is not refundable in cash and no interest accrues on the credit represented by the Purchase Voucher itself. The credit represented by a Purchase Voucher is not transferable to third parties. The credits represented by each individual Purchase Voucher are not cumulative.

8.4. The value of the Products purchased with the Purchase Voucher must correspond at least to the amount of the Purchase Voucher itself. In the case of purchases for a total amount lower than that of the Purchase Voucher, it will not be possible to refund any remaining credit to the Customer.

8.5. If the credit represented by a Purchase Voucher is less than the total price to be paid for an order, the difference can be settled using other permitted payment methods.

8.6. The Purchase Voucher will not be refunded if the products are returned in full or in part.

  1. DATA PROTECTION

MLD reserves the right to retain the data of each Order and the Customer's contact details solely for the purpose of using them for the correct execution of the Order as established in detail in the section dedicated to the Privacy Policy.

  1. MODIFICATION OF THE GENERAL TERMS AND CONDITIONS OF SALE

10.1. In the event of any modification to these general conditions of sale, MLD will promptly publish the modified general conditions of sale on the Website.

10.2. The modified general terms and conditions of sale will become an integral part of the new Contracts, starting from the first order placed by Customers, following their publication on the Website.

  1. REPLACEMENT CLAUSE

Should any current or future provision of the general terms and conditions of sale and/or the contract be or become wholly or partially void and/or ineffective, or should there be a gap in the provisions of the general terms and conditions of sale and/or the contract, the remaining provisions of the general terms and conditions of sale and the contract shall in any case remain valid and effective.

  1. JURISDICTION AND COMPETENT COURT

The sales contract between the Customer and MLD is deemed concluded in Italy and governed by Italian Law. For the resolution of civil and criminal disputes arising from the conclusion of this distance sales contract, the territorial jurisdiction shall exclusively be that of the Court of Rome.
